The outbreak of the coronavirus is posing a lot of challenges to many businesses in Mainland China and in Hong Kong. This webinar will focus on common contractual and employee related issues that businesses should be mindful of during these turbulent times.

Shirley Fu, Partner, SF Lawyers (in association with KPMG Law) and Leo Tian, Registered Foreign Lawyer, SF Lawyers (in association with KPMG Law) will discuss how businesses should perform their contractual obligations and deal with business partners who are unable to perform in Mainland China and/or Hong Kong.

Alex Ma, Senior Associate, SF Lawyers (in association with KPMG Law) will look into legal issues that businesses might face when considering common measures around managing their employees and adjusting the workface capacity.

Alex is a Senior Associate at SF Lawyers and specialises in employment and data privacy issues.
On the employment side Alex advises on all kinds of contentious and non-contentious matters. In particular, Alex is experienced in advising on employee investigations, terminations, transfer arrangements of employees and preparing various employment documents including contracts and handbooks. Alex also has extensive experience in assisting taxpayers on salaries tax appeals against the Inland Revenue Department at both the Board of Review and High Court level.

In addition, Alex has in-house experience in an international bank handling employment and data privacy matters in the broader Asia Pacific region. As an in-house legal consultant, he worked closely with the general counsel, human resources department, investigation legal team, employees relations team and external counsel to provide practical legal advice and strategy in 12 Asia Pacific jurisdictions.

On the data privacy side, Alex has experience advising multinational companies across industries on various data protection and personal data privacy issues, including its collection, use, storage, disclosure, transfer and destruction. In particular, Alex has helped clients to prepare data privacy related documents, manage data privacy related risks and handle international transfer of privacy data.

Prior to specializing in employment/data privacy, Alex was a member of the dispute resolution group in his previous firm where he was the acting solicitor in various dispute matters including cases involving financial institutions, major corporates, infrastructure and construction companies.

Mr. Tian is in charge of PRC legal practice at SF Lawyers, the affiliated law firm with KPMG in Hong Kong. His practice areas include wealth planning and management, family office, legal due diligence before acquisition and investment, joint venture establishment and negotiation, drafting of M&A transaction documents and negotiation, as well as corporate governance. He also has extensive experience in fund formation, Chinese company outbound investment, intellectual property license and real estate.

Mr. Tian has over 15 years of legal advisory experience, which includes advising high net value family on investment in and out of China, multinational companies on complex joint ventures, mergers and acquisitions, direct investment and private equity investment.

Clients that Mr. Tian served including large Chinese state-owned enterprises, large private-owned companies, Fortune 500 companies, reputable financial institutions, large private equity funds, wealth management companies, as well as companies listed in China mainland, Hong Kong and U.S.

He has been recognized as a “Next Generation Lawyer” by Legal 500 Asia-Pacific from 2016 to 2019. Many of the transactions he worked on were recognized as the “Deals of the Year”.

Shirley has extensive experience on complex corporate and commercial transactions in China and across Asia. She advises on all types of transactions, including mergers and acquisitions, private equity investments, restructurings and joint ventures, as well as on a full range of corporate matters, including constitutions, corporate governance, directors’ duties and shareholders’ rights. She also has experience in initial public offerings, take-privates, bond issues, investment fund formation and other banking and capital market transactions. Shirley garners fulsome praise in providing a responsive and hardworking service to her clients who include Chinese state-owned, privately owned and international enterprises, financial institutions, private equity firms, asset managers, Hong Kong and US listed companies.

She is a qualified lawyer in Hong Kong, New South Wales Australia, England & Wales, and New Zealand. Her legal career began back in 2004 with KPMG’s tax and legal department in Sydney, before she relocated to Hong Kong where she spent over four years in premier offshore law firms and more than seven years at top tier international law firms. She was a key part of the team which was awarded “Offshore Law Firm of the Year” by ALB Hong Kong Law Awards, China Law & Practice Awards and IFLR Asia Awards from 2014 to 2017. Many of the deals which she worked on are high-profile and high-dollar-value transactions and have received industry recognition and acclaim.
